PUBLICITY AND RELEASE AGREEMENT/PRIVACY STATEMENT
IN CONSIDERATION of valuable product from SilkBalance (38-ounce bottle of SilkBalance), you acknowledge and agree that: 1. Publicity License: Without further compensation, SilkBalance, its agents, subsidiaries, affiliates and assigns (“SilkBalance”) have a perpetual, irrevocable license to use, re-use, adapt, modify, reproduce, distribute, display and publicly perform your name, visual likeness, contributed commentary, messages and biographical data, in whole or in part, in any and all media now known or hereafter devised, worldwide, in connection with the promotional or marketing activities of SilkBalance. 2. Release: SilkBalance is released from all liability arising out of the license granted hereunder and you agree not to make any claim against SilkBalance as a result of license granted hereunder (including, without limitation, any claim that any use under the license defames you or invades any right of privacy and/or publicity or infringes your copyright). 3. Assignment; Binding Effect. You may not assign or delegate this Agreement, or any rights, duties or obligations hereunder, with the prior written approval of SilkBalance. SilkBalance may assign or delegate this Agreement; or any rights, duties or obligations in its sole discretion. 4. Severability. If any provision of this Agreement, or the application thereof, shall for any reason and to any extent be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and the application of such provision to other persons or circumstances shall be interpreted so as best to reasonably effect our intent hereunder. 5. Choice of Law. Any action related to this Agreement will be governed the laws of the State of Washington. The parties hereby exclusively and irrevocably submit to, and waive any objection against, the personal jurisdiction of the United States District Court for the Western District of Washington, and the state courts of the State of Washington for King County. 6. Entire Agreement. This Agreement represents the entire understanding between you and SilkBalance relating to the subject matter hereof, and supersedes any prior agreements between you and SilkBalance on this subject matter. 7. TO QUALIFY FOR A FREE 38-OUNCE BOTTLE OF SILKBALANCE • You must be a new customer who purchased SilkBalance from an authorized brick and mortar retail outlet and who has not completed this program before. Submit a short, written review stating what you liked about your experience using SilkBalance. • This offer is available for in-store purchases only. Online purchases are NOT eligible for this offer. • Customers must provide a high resolution (jpg) digital photo (minimum 300 dpi) image of them or a relative (one bottle per family) that shows somebody’s face and a bottle of SilkBalance in or beside their personal spa. • “Like” SilkBalance on Facebook.com/SilkBalance. • Once SilkBalance approves the request, your authorized retailer will be notified to invite you back to the store to pick up your complimentary 38-ounce bottle of SilkBalance.
